- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
- DAMAGES FOR PERSONAL INJURY OR PROPERTY DAMAGE (EXCEPT WHERE DIRECTLY CAUSED BY OUR NEGLIGENCE OR INTENTIONAL MISCONDUCT);
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- DAMAGES ARISING FROM ERRORS, INACCURACIES, OR OMISSIONS IN ANY CONTENT OR INFORMATION ON THE WEBSITE;

IN ALL CASES, PEQUOD'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES, REGARDLESS OF THE LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR OTHERWISE), SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO PEQUOD'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
Nothing in these Terms shall limit or exclude Pequod's Pizza's liability for fraud, gross negligence, intentional misconduct, or any liability that cannot be excluded or limited by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Pequod's Pizza and its officers, directors, employees, agents, affiliates, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

9. Governing Law and Jurisdiction
These Terms of Service and any dispute arising out of or related to them or the use of our Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pequod's Pizza's primary place of business is located, without regard to its conflict of law principles.
To the extent that any dispute is not subject to mandatory arbitration as described in Section 10 below, you consent to the exclusive personal jurisdiction and venue in the federal and state courts located within the United States for the resolution of any disputes. You waive any objection to such jurisdiction and venue, including any objection based on improper venue or inconvenient forum.
This Agreement shall be interpreted in a manner consistent with the Federal Trade Commission Act, 15 U.S.C. § 41 et seq., and all other applicable federal and state laws governing consumer transactions, food safety, electronic commerce, and data privacy. If you are a California resident, you may also have rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as addressed in our Privacy Policy.
Users located in different states may have additional rights under their respective state consumer protection laws. Nothing in these Terms is intended to limit any rights you may have under applicable state law that cannot be waived by contract.
10. Dispute Resolution
10.1 Informal Resolution

10.2 Binding Arbitration

Except for disputes that qualify for small claims court, and except as otherwise provided herein, you and Pequod's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English, in the United States.
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate. The arbitrator's award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Costs of arbitration shall be allocated in accordance with AAA Consumer Arbitration Rules. Each party shall bear its own attorneys' fees, except as otherwise required by applicable law or as the arbitrator may award in accordance with applicable law.
10.3 Class Action Waiver
YOU AND PEQUOD'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
10.4 Exceptions to Arbitration
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.
11. Term and Termination
These Terms shall remain in full force and effect while you use our Website or Services. Pequod's Pizza reserves the right, in its sole discretion and without notice or liability, to:
- Terminate or suspend your account and access to our Services at any time for any reason, including but not limited to violation of these Terms;
- Cancel any pending orders if we determine that they were placed in violation of these Terms or involve fraudulent activity;

The parties agree that in the event that any provision is found to be invalid or unenforceable, the court or arbitrator shall have the authority to modify such provision in a manner consistent with the parties' original intent as closely as legally possible, so as to give the greatest possible effect to the agreed-upon terms.
In particular, if the class action waiver provision in Section 10.3 is found to be unenforceable in any legal proceeding, then the entirety of the arbitration agreement in Section 10.2 shall be null and void with respect to that particular proceeding, and the parties agree to submit such proceeding to a court of competent jurisdiction.
14. Additional Legal Provisions
14.1 Entire Agreement

Pequod's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, fire, flood, war, terrorism, governmental actions, power failures, internet service disruptions, labor disputes, or supply chain disruptions. In such events, we will use commercially reasonable efforts to resume normal operations as soon as practicable.
